The Gift Card is issued by CIMI2510, Inc. (formerly known as CARD2202, Inc.) (&#8220;Card Issuer&#8221; or &#8220;we&#8221; or &#8220;us&#8221;). These Terms constitute a legally binding agreement (the \u201cAgreement\u201d) between Card Issuer and you as the cardholder (&#8220;you&#8221; or &#8220;your&#8221;).&nbsp; Your purchase, use or acceptance of the Gift Card constitutes your agreement to these Terms.&nbsp; <strong><b>Important: <\/b><\/strong> <strong><b>Please read this Agreement carefully.&nbsp; The Terms<\/b><\/strong> <strong><b>below<\/b><\/strong> <strong><b>include a <b><a class=\"blue-hover\" href=\"https:\/\/mycardterms.com\/phillips66\/home\/terms\/#limitationofliability\">limitation of liability clause<\/a><\/b>, a <b><a class=\"blue-hover\" href=\"https:\/\/mycardterms.com\/phillips66\/home\/terms\/#ChangeOfTerms\">change in terms provision<\/a><\/b>,  a <b><a class=\"blue-hover\" href=\"https:\/\/mycardterms.com\/phillips66\/home\/terms\/#BindingArbitrationClause\">binding arbitration clause<\/a><\/b>,  a <b><a class=\"blue-hover\" href=\"https:\/\/mycardterms.com\/phillips66\/home\/terms\/#WaiverOfClassAction\">waiver of class action provision<\/a><\/b>, and a <b><a class=\"blue-hover\" href=\"https:\/\/mycardterms.com\/phillips66\/home\/terms\/#NovationClause\">novation clause<\/a><\/b>.&nbsp;<\/b><\/strong> If you do not agree with any of the Terms, do not purchase or accept a Gift Card. You may download these Terms by using the download button at the end of these Terms.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><a id=\"NovationClause\"><\/a><b>Gift Card Issuer and Sole Obligor<\/b> &#8211;<strong> Novation<\/strong><\/h3>\n\n\n\n<p>CIMI2510, Inc. is the sole card issuer and sole obligor to the cardholders.&nbsp; Phillips 66 Company (&#8220;Phillips 66\u00ae&#8221; or &#8220;Retailer&#8221;) is neither the Card Issuer nor the obligor to you or to any cardholder and holds no obligation to you or any cardholder for the Gift Card. Your sole contractual party for the Gift Card is Card Issuer.&nbsp;<strong>You agree to the foregoing and acknowledge that it shall be treated, if and to the extent necessary, as a novation under which CIMI2510, Inc. is the only obligor to you<\/strong>.&nbsp; Card Issuer may delegate its issuer obligations to an assignee, without recourse.&nbsp; If delegated the assignee, and not Card Issuer, will be sole obligor to the cardholder. In furtherance of the foregoing agreements,&nbsp;<strong>you hereby knowingly release Phillips 66\u00ae and its affiliates from any and all claims that Phillips 66\u00ae<\/strong> <strong>is obligated to you for the Gift Card.<\/strong><\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Purchasing Gift Cards<\/b><\/h3>\n\n\n\n<p>Gift Cards may be purchased at the following outlets (each a \u201cPurchase Site\u201d): (a) at participating Phillips 66\u00ae, Conoco\u00ae and 76\u00ae locations stores; (b) online at various outlets including <a href=\"https:\/\/phillips66.ourgiftcards.com\/\" target=\"_blank\" rel=\"noreferrer noopener\">Phillips 66 Gift Cards<\/a>; and (c) at select third-party retailers. Online purchases of Gift Cards will be governed by purchase and delivery terms specified on the Purchase Site; those terms are separate from these Terms. Gift Cards purchased in the United States will be denominated in U.S. dollars.&nbsp; Unless specified otherwise at purchase, a Gift Card may be purchased and loaded in the minimum amount of $5 and up to a maximum amount of $500.&nbsp; No single individual may purchase Gift Cards with a total value of $10,000 in any given day.&nbsp; A Gift Card will not be valid unless and until it is properly acquired and activated.&nbsp; A Gift Card also will not be valid if obtained by you from unauthorized sellers or resellers including from Internet auction sites.&nbsp; Your Gift Card may be reloaded by you if and as specified in the section below on Reloadability.<\/p>\n\n\n\n<div class=\"wp-block-columns is-layout-flex wp-container-core-columns-is-layout-9d6595d7 wp-block-columns-is-layout-flex\">\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\" style=\"flex-basis:45%\">\n<h3 class=\"wp-block-heading\"><strong>Gift Card Purchase Warnings<\/strong><\/h3>\n\n\n\n<p>Gift cards are popular products, but they are targets for fraud perpetrated by scammers designed to entice targets to buy a Gift Card. For more about fraud visit stopgiftcardscams.com. Do not purchase a Gift Card unless you are purchasing it as a gift or for your personal use. Be vigilant. Furthermore, if anyone insists you buy a Gift Card for use to make a payment, then do not purchase the Gift Card. When it is activated, they use the stolen card numbers to drain the card and its value resulting in the purchaser holding a valueless card.&nbsp; Be vigilant.&nbsp; When buying a card, examine packaging.&nbsp; Do not purchase if any part of the card, its packaging or security features appear to be removed, ripped, damaged or otherwise tampered with.<\/p>\n<\/div>\n\n\n\n<div class=\"wp-block-column is-layout-flow wp-block-column-is-layout-flow\" style=\"flex-basis:27.47%\"><\/div>\n<\/div>\n\n\n\n<h3 class=\"wp-block-heading\"><b>About the Gift Card<\/b><\/h3>\n\n\n\n<p>The Gift Cards are closed-loop instruments, which means they are only redeemable or usable for purchases made at participating Phillips 66\u00ae, Conoco\u00ae and 76\u00ae stores and\/or on acceptable devices via the Fuel Forward\u00ae App. The Gift Cards are limited-value and limited-use cards. They are not debit or credit cards, deposit accounts, or linked to a deposit account. Your Gift Card is not a bank issued card. It is not subject to overdraft protection or depository insurance. It does not bear interest due to you.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong><b>Gift Card Redemption<\/b>s and Use<\/strong><\/h3>\n\n\n\n<p>The physical Gift Cards are redeemable only to purchase merchandise at participating Phillips 66\u00ae, Conoco\u00ae and 76\u00ae stores and on acceptable devices via the Fuel Forward\u00ae App. The Fuel Forward\u00ae App is available only on devices meeting specified Operating System requirements. To see if a device meets requirements, go to the Google Play Store or Apple App Store, search for the Fuel Forward\u00ae App and review the compatibility and requirements section before buying an eGift card for yourself or others. An eGift card is usable up to its balance only on acceptable devices via the Fuel Forward\u00ae App to buy authorized goods and services of Phillips 66\u00ae, Conoco\u00ae, and 76\u00ae. Your Gift Card is redeemable only up to the available balance of the Gift Card. If you want to use your Gift Card to make purchases of merchandise in excess of the balance, you must combine the use of the Gift Card with another acceptable form of payment. The Gift Card cannot be redeemed for cash except as required by law.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Limitations on Use<\/b><\/h3>\n\n\n\n<p>Your Gift Card is subject to limitations on use. Your Gift Card is not redeemable or usable (a) to purchase another Gift Card, (b) to make payment towards previously purchased merchandise, (c) to make payment on any credit account, (d) at any merchant other than Phillips 66\u00ae, Conoco\u00ae, and 76\u00ae<strong>, <\/strong>or (e) at any location other than participating Phillips 66\u00ae, Conoco\u00ae, and 76\u00ae. For limitations upon international use, see the section above. Your Gift Card cannot be used in or in furtherance of an illegal transaction or illicit activities. Your Gift Card may not be refunded, returned, or redeemed for cash or currency, except to the extent required by law. If cash redemption is required by law, then the cardholder agrees that the payment may be made by cash, check, or an electronic funds transfer as such method is selected by the Card Issuer.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Fuel Forward\u00ae App \u2013 Certain Restrictions Apply<\/strong><\/h3>\n\n\n\n<p>Physical Gift Cards and digital Gift Cards may be purchased and used via the Fuel Forward\u00ae App. The Fuel Forward\u00ae App is available only on devices meeting specified Operating System requirements. To see if a device meets requirements, go to the Google Play Store or Apple App Store, search for the Fuel Forward\u00ae App and review the compatibility and requirements section before buying a digital Gift Card for yourself or others. If the applicable device does not meet specifications, then do not order a digital Gift Card.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Fuel Forward\u00ae App Purchasing<\/strong><\/h3>\n\n\n\n<p>Your use of your Gift Card to purchase via the Fuel Forward\u00ae App will be subject to separate terms and conditions that govern online shopping and Fuel Forward\u00ae App purchases.&nbsp; Those terms and conditions are separate from these Terms and may be found at&nbsp;<a href=\"https:\/\/www.phillips66.com\/terms-and-conditions\/\" target=\"_blank\" rel=\"noreferrer noopener\">Phillips 66 Terms and Conditions<\/a>.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Reloadability<\/strong><\/h3>\n\n\n\n<p>Your Gift Card is reloadable. Unless specified otherwise at the time of reload, a reload shall not cause the Gift Card to have an aggregate value in a given 24-hour period in excess of $2,000.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Goods and Services Purchased with the Gift Card<\/strong><\/h3>\n\n\n\n<p>Your use of your Gift Card to purchase goods or services at participating Phillips 66\u00ae, Conoco\u00ae, and 76\u00ae will be subject to their policies, if any, governing the purchase of its goods and services. In addition, refunds, returns, or merchandise credits regarding purchased merchandise, if any, will be governed by the policies of Phillips 66\u00ae, Conoco\u00ae, and 76\u00aeas the seller of the merchandise.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Resale is Prohibited<\/b><\/h3>\n\n\n\n<p>You may not sell your Gift Card or otherwise barter or exchange the Gift Card for value.&nbsp; However, consistent with its intended purpose, you may give a Gift Card to another person for no monetary consideration as a gift.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>No Expirations or Fees Against the Card Balance &#8211; Escheat<\/b><\/h3>\n\n\n\n<p>Your Gift Card balance does not expire.&nbsp; However, a Gift Card may (or may not) be subject to escheat to an appropriate state or territory if and as required by applicable unclaimed property laws.&nbsp; For information about escheat, visit&nbsp;<a href=\"http:\/\/unclaimed.org\/\" target=\"_blank\" rel=\"noreferrer noopener\">unclaimedproperty.org<\/a>.&nbsp; If escheat occurs, you may inquire about the status of the Gift Card funds by contacting our Support Team at&nbsp;<a href=\"mailto:customerservice@cardcompliant.com\">customerservice@cardcompliant.com<\/a>.&nbsp; Your Gift Card may not be usable to purchase goods or services in the event the redeeming merchant ceases business or the program is terminated for business reasons.&nbsp; In that event, go to&nbsp;<a href=\"https:\/\/mycardterms.com\/phillips66\/phillips66\">mycardterms.com\/phillips66<\/a>&nbsp;for instructions regarding the use of your card.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Risk of Loss, Damage, Theft or Unauthorized Use<\/b><\/h3>\n\n\n\n<p>Title to the Gift Card and risk of loss passes to the Gift Card purchaser when a Gift Card is delivered.&nbsp; With respect to physical Gift Cards or digital Gift Cards purchased at a physical location (as opposed to online) that occurs upon delivery of the physical Gift Card or digital Gift Card to the purchaser.&nbsp; With respect to an online purchase of a physical Gift Card, that occurs upon delivery of the physical Gift Card to the purchaser or designated recipient.&nbsp; With respect to an online purchase of and the electronic delivery of a digital Gift Card, that occurs when the digital Gift Card is clicked by the sender as sent.&nbsp; Card Issuer shall not be responsible for Gift Cards that are lost, damaged, stolen, or used without authorization.&nbsp; Although they are not cash, you should protect your Gift Card like you do cash.&nbsp; Gift Cards will not be replaced or replenished if lost, damaged, stolen, or used without authorization.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Fraud and\/or Unauthorized Transactions<\/b><\/h3>\n\n\n\n<p>You are responsible for all transactions associated with your Gift Card, whether authorized or unauthorized.&nbsp; Consequently, you should safeguard your Gift Card and you should not disclose your Gift Card information.&nbsp; Card Issuer reserves the right to assert all available remedies or countermeasures in the event of suspected abuse or fraud regarding your Gift Card or in the event of a disputed credit or payment card charge or dishonored check at the time of card purchase. Such remedies shall include, without limitation, the blocking or freezing by the Card Issuer of a Gift Card from use or the refusal by the Card Issuer to issue or honor a Gift Card.&nbsp; Such remedies also shall include the right of Card Issuer or Phillips 66\u00ae to void a Gift Card without any refund in the event a Gift Card or Gift Card balance is sourced or obtained by theft, fraud, or unauthorized means (including suspected theft, fraud, or unauthorized means). Card Issuer may use Gift Card balances to offset its liability to card companies, networks and issuers of lost or stolen credit and debit cards used to purchase or load Gift Cards.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><a id=\"limitationofliability\"><\/a><strong>Important:  <b>Limitation of Liability<\/b><\/strong><\/h3>\n\n\n\n<p>CARD ISSUER MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, WITH RESPECT TO ANY GIFT CARD INCLUDING, WITHOUT LIMITATION, ANY EXPRESS OR IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IF A GIFT CARD IS NON-FUNCTIONAL, DUE TO A SYSTEM ERROR, YOUR SOLE REMEDY SHALL BE THE REPLACEMENT OF THAT GIFT CARD. UNLESS PROHIBITED BY LAW, CARD ISSUER AND YOU AGREE TO LIMIT CLAIMS FOR DAMAGES OR OTHER MONETARY RELIEF AGAINST EACH OTHER TO DIRECT ACTUAL DAMAGES. AND CARD ISSUER AND YOU WILL NOT SEEK ANY INDIRECT, SPECIAL, CONSEQUENTIAL, TREBLE, OR PUNITIVE DAMAGES FROM THE OTHER. CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS, EXCLUSIONS, OR LIMITATIONS MAY NOT APPLY TO YOU.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b><a id=\"BindingArbitrationClause\"><\/a>Important: Mandatory and Binding Arbitration Agreement<\/b><\/h3>\n\n\n\n<p><strong><strong>This mandatory and binding agreement to arbitrate (the \u201cArbitration Agreement\u201d) is part of the Terms governing your Gift Card.&nbsp;&nbsp;By accepting the Terms of the Agreement, you also are accepting and agreeing to the terms of this Arbitration Agreement. Please read these arbitration provisions carefully. They affect legal rights that you otherwise may have and require binding arbitration of claims instead of resolution in a court of law. With limited exceptions, this Arbitration Agreement requires Card Issuer and you to submit claims to binding and final arbitration on an individual basis.&nbsp; This means that, as described below, you will not be able to bring a case or lawsuit in a court of law before a judge or jury. Instead, you agree to submit such claims solely on your own individual behalf to a neutral arbitrator. To that end, Card Issuer and you agree as follows<b>:<\/b><\/strong><\/strong><\/p>\n\n\n<p><strong><b><!-- added to bold the numbers in the O--><\/b><\/strong><\/p>\n<p><!-- experiment with css inline padding and margin style=\"margin:10 50;padding:50px; --><\/p>\n<p><!-- added to bold the numbers in the OL--><\/p>\n\n\n<ol style=\"font-style:normal;font-weight:600\" class=\"wp-block-list formatted-list\">\n<li><strong><span style=\"text-decoration: underline\">We Both Agree to Arbitrate<\/span>: Card Issuer and you hereby agree to resolve any and all claims or disputes regarding, arising out of, or in any manner pertaining to the Card Issuer, the Gift Cards, and\/or this Agreement (each a \u201cClaim\u201d) on an individual basis through final and binding arbitration in accordance with this Arbitration Agreement which arbitration shall be the exclusive way to resolve a Claim; provided, however, that you may bring any matter on an individual basis within the jurisdiction of a small claims court or similar small value claims court in which you seek less than the jurisdictional limit.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Applicability of Arbitration Agreement<\/span>: This Arbitration Agreement applies to all Claims of any kind or nature including Claims arising by contract, tort, statute or otherwise regarding, arising out of, or in any matter pertaining to Card Issuer, the Gift Card, and\/or this Agreement. Furthermore, this Arbitration Agreement applies to all Claims for legal relief (including damages, penalties, and interest) regarding, arising out of, or in any matter pertaining to Card Issuer, the Gift Card, and this Agreement. For the sake of clarity, it is agreed and understood that any claim for non-monetary relief (such as injunctive relief or specific performance) must be brought in a court of competent jurisdiction, which shall be the exclusive forum for Claims seeking non-monetary relief.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">What is Arbitration?<\/span> Generally, arbitration is more informal and less expensive than a lawsuit in court and seeks to resolve disputes more quickly. Instead of a judge or a jury, the case is decided by a neutral arbitrator.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Informal Dispute Resolution<\/span>: Before commencing arbitration, Card Issuer and you agree to try in good faith to resolve any dispute informally. To start the dispute process, you must send an individualized written notice (\u201cNotice of Dispute\u201d) to <a href=\"mailto:disputeresolution@cimicardresolution.com\" target=\"_blank\" rel=\"noreferrer noopener\">disputeresolution@cimicard.com<\/a> that includes (1) your name, phone number, username, and email address, and (2) a description of the dispute and how you would like it resolved. In turn, if Card Issuer has a dispute with you, Card Issuer will send a Notice of Dispute in accordance with the notice provisions of this Agreement. Once a complete Notice of Dispute has been received, Card Issuer shall have ninety (90) days to investigate the claims. If either side requests a settlement conference during this period, then Card Issuer and you must cooperate to schedule that meeting by phone or videoconference. Card Issuer and you each will personally participate, and each can bring counsel, but the conference must be individualized, even if the same firm(s) represent multiple parties. For the Claim specified in the Notice of Dispute, any statute of limitations will be tolled from the date the notice is received until the earlier of (i) ninety (90) days, or (ii) after a timely requested settlement conference is completed (\u201cInformal Resolution Period\u201d). An arbitration cannot be commenced until the Informal Resolution Period has ended, and a court can enjoin the filing or prosecution of an arbitration in breach of this Section on Informal Dispute Resolution.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Governing Law and Rules \u2013 One Arbitrator<\/span>: This Arbitration Agreement is made pursuant to a transaction involving interstate commerce and shall be governed by the Federal Arbitration Act (\u201cFAA\u201d), 9 U.S.C. \u00a7\u00a7 1-16. The arbitration shall be administered by JAMS Mediation, Arbitration and ADR Services (\u201cJAMS\u201d) and shall be conducted before a single arbitrator using JAMS\u2019s Streamlined Arbitration Rules and Procedures (the \u201cStreamlined Rules\u201d) as jurisdictionally applicable or the JAMS\u2019s Comprehensive Arbitration Rules and Procedures if the Streamlined Rules are not jurisdictionally applicable. For more information on JAMS and\/or JAMS Rules and Procedures, you may visit the <a href=\"https:\/\/www.jamsadr.com\/rules-comprehensive-arbitration\/\" target=\"_blank\" rel=\"noreferrer noopener\">JAMS Website<\/a>.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Location of Arbitration<\/span>: The arbitration required by this Arbitration Agreement shall be held at a location determined by JAMS under its rules and procedures (provided such location is reasonably convenient to you) or at such other location as may be mutually agreed to by Card Issuer and you.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Scope of Arbitrator\u2019s Authority<\/span>: The single arbitrator will have exclusive authority to resolve any dispute relating to the Agreement; provided, however, that a claim or dispute regarding the following must be brought in a court of competent jurisdiction, which shall be the exclusive forum to resolve the claim or dispute: (a) a dispute over the validity of the Agreement and\/or any provision therein including this Arbitration Agreement, (b) a claim or motion to enforce or compel arbitration pursuant to the FAA, (c) jurisdictional disputes regarding the Arbitration Agreement, and (d) arbitrability of a Claim under the Arbitration Agreement. The arbitrator shall apply applicable law consistent with the FAA and all applicable statutes of limitations and shall honor all claims of privilege recognized at law. The arbitrator shall have the authority to grant or deny requests for discovery after giving due regard to an intended purpose of arbitration being to limit costs. The arbitrator\u2019s decision on the merits shall be based on and shall be limited by the Terms of the Agreement and applicable law. Without limiting the generality of the foregoing, the arbitrator will not have any authority to deviate from the Terms of the Agreement or from applicable substantive law, and the arbitrator will not have any authority to award indirect, consequential, special, multiple (double, treble, etc.) or punitive damages.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Exceptions to Arbitration<\/span>: There are only four (4) exceptions to arbitration under this Arbitration Agreement: (a) an individual Claim brought in small claims court as described in Section 1, (b) an individual action brought in a court seeking non-monetary injunctive relief as described in Section 2, (c) an individual action brought in court to determine the enforceability of this Arbitration Agreement as described in Section 7, and (d) an individual action brought in court to determine the scope of the arbitrator\u2019s authority as described in Section 7.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Individual Claims<\/span>: Card Issuer and you agree to arbitrate any Claim only on an individual basis and hereby waive any right to bring, participate in, or receive money or any other form of relief via or from a class action, representative case, consolidated action, or collective proceeding, whether in a court of law or arbitration proceeding. Without limiting the generality of the foregoing, this waiver applies in any action required to be resolved by a court in accordance with Section 1 (We Both Agree to Arbitrate), Section 2 (Applicability of Arbitration Agreement) and\/or Section 7 (Scope of Arbitrator\u2019s Authority) of this Arbitration Agreement. See also Section below on Waiver of Class Action.<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Arbitration Fees<\/span>: Payment of all filing, case-management, administrative, hearing, and arbitrator fees will be governed by the JAMS\u2019s rules and fee schedules (\u201cArbitration Fees\u201d).<\/strong><\/li>\n\n\n\n<li><strong><span style=\"text-decoration: underline\">Acknowledgement<\/span>: THE PARTIES (CARD ISSUER AND YOU) HEREBY WAIVE THEIR CONSTITUTIONAL, STATUTORY AND COMMON LAW RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR A JURY. Instead, they have elected that all Claims be resolved on an individual basis by arbitration in accordance with this Arbitration Agreement.<\/strong><\/li>\n<\/ol>\n\n\n\n<h3 class=\"wp-block-heading\"><b><a id=\"WaiverOfClassAction\"><\/a>Important: Waiver of Class Action<\/b><\/h3>\n\n\n\n<p>In addition and separate from to the aforementioned Arbitration Agreement, Card Issuer and you further agree to pursue or arbitrate any Claim only on an individual basis and<strong>&nbsp;hereby waive any right to bring, participate in, demand money, or to assert any other form of relief via or from any class action or other form of representative action, consolidated case, or collective proceeding<\/strong>. &nbsp;In addition, no party may bring a Claim on behalf of any other individual, and no arbitrator hearing any Claim may: (a) without the consent of all parties, combine more than one individual\u2019s claim or claims into a single case; (b) order, require, participate in, or facilitate production of class-wide contact information or notification of others of potential claims; or (c) arbitrate any form of a class, collective, consolidated, representative, or private attorney general proceeding.<strong>&nbsp;&nbsp;This means that you will not be able to bring a class action, collective case, or representative lawsuit in a court of law before a judge or jury or in the arbitration proceeding before an arbitrator.<\/strong>&nbsp;&nbsp;Without limiting the generality of the foregoing, this waiver applies in any action required to be resolved by a court in accordance with Section 1 (We Both Agree to Arbitrate), Section 2 (Applicability of Arbitration Agreement), Section 7 (Scope of Arbitrator\u2019s Authority), and Section 8 (Exceptions to Arbitration) above.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Governing Law<\/b><\/h3>\n\n\n\n<p>Except as specified above in Section 5 of the Arbitration Agreement, the laws of the State of Arizona in the United States of America, without regard to its principles of conflicts of law, shall govern this Agreement; provided, however, it is agreed and understood that the FAA controls the issues of arbitration and arbitrability without regard to Kansas law on arbitration agreements.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b><a id=\"ChangeOfTerms\"><\/a>Change in Terms<\/b><\/h3>\n\n\n\n<p><strong>Card Issuer reserves the right to modify these Terms&nbsp;at any time in its discretion for the limited purposes<\/strong>&nbsp;(a) of making modifications, if any, regarding redemption limitations, (b) to define modifications in limitations of use, (c) to describe courses of action in the event the Gift Card program is terminated, (d) to clarify existing terms and conditions, (e) to address changes in information such as links, or (f) to implement other changes made in good faith provided that such other changes do not include (i) the addition of an expiration date, (ii) the application of new fees regarding the use or non-use of the Gift Cards, (iii) a change to the Arbitration Agreement, or (iv) a change to this Change in Terms clause.&nbsp; These changes will be made at mycardterms.com\/phillips66. Notice of changes will be provided at the Cardholder Notice tab of that website. The most current version of these Terms will be available on that website reserved for such and will supersede all previous versions of these Terms, except as otherwise specified.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b><a id=\"Severablility\"><\/a>Survival of Terms<\/b><\/h3>\n\n\n\n<p>Should the Terms of this Agreement, or any part thereof, be determined by any court, tribunal, arbitrator, or agency to be unenforceable, void, or voidable, or should any court, tribunal, arbitrator, or agency refuse or decline to enforce these terms and conditions or any part thereof, the remainder of these terms and conditions and all parts of it shall remain in effect, valid, and enforceable.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><b>Gift Card Program Termination<\/b><\/h3>\n\n\n\n<p>The Gift Card program may be terminated in extraordinary circumstances such as (a) the cessation of business of Phillips 66\u00ae, (b) if needed in light of applicable laws and regulations, (c) the mutual business decision of Card Issuer and Phillips 66\u00ae that the Gift Card program has run its business course and should be ended on a going forward basis, and (d) in force majeure type situations that prohibit the operation of the program such as pandemics, sabotage, terrorism, civil unrest, or acts of God. In the event the Gift Card program is terminated, instructions to Cardholders will be provided by notice given in accordance with this Agreement.<\/p>\n\n\n\n<h3 class=\"wp-block-heading\"><strong>Notices to <b>Cardholder <\/b><\/strong><\/h3>\n\n\n\n<p>Card Issuer does not maintain names or addresses of cardholders. We further inform you that the Gift Account data (including your personal information and data) will be transferred to and processed by us in the United States of America.&nbsp;<strong>Your activation or use of the Gift Account constitutes your consent to such collection and use of your personal information and data.<\/strong>&nbsp;Our collection or use of personal information and data is subject to our&nbsp;<a href=\"https:\/\/mycardterms.com\/phillips66giftaccount\/privacy-policy-cimi\/\">Privacy Policy and Notice<\/a>.
